1. About Cab Exchange
Cab Exchange is operated by Blitzen Rudolph Ltd (company number 14874446), trading as Cab Exchange (“Cab Exchange”, “we”, “us”). These terms govern use of the Cab Exchange platform by private-hire operators and private-hire drivers (“members”). By creating an account or using the Exchange you agree to these terms.
2. Business users only
The Exchange is not a passenger or consumer booking service. Operator accounts are for appropriately licensed private-hire operators. Driver accounts are for appropriately licensed private-hire drivers using appropriately licensed and insured vehicles. Members must provide accurate information and keep it current.
3. What the Exchange does
An operator may post work it needs covered. Eligible drivers and other licensed operators may submit private quotes. The posting operator decides whether to accept a quote. Cab Exchange does not set the work price, choose the supplier, receive the passenger booking or guarantee that any job, quote or allocation will proceed.
Competing quotes are private. Members must not manipulate bidding, create false jobs or quotes, collude to distort prices, scrape the Exchange, or use information obtained through the Exchange for an unrelated purpose.
4. Passenger bookings and operator responsibility
The operator that accepts a passenger's private-hire booking remains responsible for complying with the law and the conditions of its operator licence. Cab Exchange is not substituted for that operator and does not accept the passenger booking on its behalf.
Where the posting operator selects an individual driver, the posting operator is responsible for satisfying itself that the driver and vehicle may lawfully carry out its booking and for completing its own onboarding, availability, licensing, insurance, record-keeping and other required checks. Information or documents made available through Cab Exchange assist those checks but do not replace them.
5. Operator-to-operator subcontracting
If a posting operator accepts a quote from another licensed operator, the parties acknowledge that this is an operator-to-operator subcontracting arrangement, not a direct driver allocation. Each operator remains responsible for the legal, licensing, contractual and record-keeping duties that apply to it. The original operator must not treat use of Cab Exchange as transferring away responsibilities that law or its passenger contract requires it to retain.
6. Driver documents, approval and compliance status
Drivers must supply the documents requested by the platform, which may include a driving licence, V5C, MOT, PHV vehicle licence, PHV driver licence certificate and card, Hire & Reward insurance, profile photograph and vehicle photographs. Drivers must provide genuine, legible and current information and enter accurate expiry dates.
New driver accounts remain pending until approved by Cab Exchange administration. Pending drivers may sign in and manage their profile and documents but cannot view or quote for live Exchange work. Administrative approval controls access to the marketplace and does not amount to a warranty that a driver, vehicle or document is valid for any particular booking.
Cab Exchange may show document status to eligible operators. A document being shown as supplied, current or reviewed does not amount to a warranty by Cab Exchange that the driver, vehicle or document is valid for a particular booking. Operators remain responsible for their own checks. We recommend that an operator speaks to a driver, including by video where appropriate, before first allocating work to them.
7. Expiry warnings and suspension
Cab Exchange may issue dashboard and push warnings before time-limited documents expire, including at approximately 30, 14, 7 and 1 day before expiry. If a required document expires without an acceptable replacement, the driver's ability to quote for or accept new work may be suspended automatically. The driver may continue to access their account, historical work, earnings, outstanding payments and reporting. Reactivation may require a replacement upload and review.
8. Posting, quoting and allocation
Operators must describe jobs accurately, including pickup, destination, collection date/time, vehicle requirement and payment terms. The original passenger/job value stored for the posting operator's reporting is private and is not a price invitation to bidders.
Drivers and operators choose whether to quote and set their own quote price. A pending quote may be withdrawn before selection. The posting operator may reject individual quotes. Selection creates an allocation between the posting operator and the selected driver or covering operator on the job details, selected quote and payment terms recorded on the Exchange.
9. Cancellation
A posting operator may cancel an unallocated job, which closes outstanding quotes. After allocation, cancellation must be recorded through the platform and may be visible in the audit history. Members must act reasonably where another party has already committed time or cost. Cab Exchange may introduce cancellation charges or rules in future only after giving appropriate notice and updating these terms.
10. Completion and payment
The selected driver or covering operator may mark allocated work complete. Completion starts the platform payment timeline. Payment terms offered on a job are Same Day, 48 Hours or 7 Days. Unless otherwise expressly agreed, the posting operator is responsible for paying the selected supplier the accepted quote amount.
Cab Exchange may record amounts, due dates, paid dates and outstanding balances, but does not hold client money, process the job payment, become debtor or creditor, or guarantee payment. Marking a job “Paid” is a platform record and is not itself proof that cleared funds were received.
11. Feedback, reputation, directories and blacklisting
Members may leave feedback following completed work, including courtesy, payment experience and whether they would use the other party again. Cab Exchange may separately display system-recorded payment timing and late-payment reports. Feedback must be honest, relevant and based on genuine Exchange activity. We may investigate, hide or remove abusive, fraudulent, defamatory or demonstrably inaccurate content and retain an audit record of moderation.
Approved members may use Cab Exchange driver and operator directories to view limited marketplace profile information and feedback. Members may blacklist another member where they do not wish to work together. While a blacklist remains in place, the affected members are prevented from seeing or bidding on each other's live Exchange work. Existing allocated, completed, payment and audit records remain available and are not cancelled merely because a blacklist is added.
12. Fees
Cab Exchange membership is currently free for both operators and drivers. There is no membership subscription, job-posting fee or percentage commission on agreed Exchange job rates under the current commercial model. Cab Exchange may introduce optional or paid services in the future, but no member will be charged unless the applicable price and terms are clearly presented and accepted before purchase.
13. Accounts, security and acceptable use
Members are responsible for account security and activity under their credentials. Accounts must not be sold, shared with unauthorised persons or used to impersonate another person or business. We may restrict or suspend accounts for expired or false documents, fraud, unsafe or abusive conduct, persistent misuse, regulatory concerns, serious payment issues, security risks or breach of these terms.
14. Administration and audit
Cab Exchange administrators may access account, job, quote, allocation, document-status, payment-status, feedback and audit information where reasonably required to operate, secure, support or investigate the Exchange, subject to our Privacy Policy and applicable law.
15. Availability and third-party services
We aim to keep the Exchange available but do not guarantee uninterrupted or error-free service. Features may depend on hosting, identity, notification, postcode, email or other third-party services. We may maintain, change or withdraw features where reasonably necessary.
16. Liability
Members make their own commercial and compliance decisions. To the fullest extent permitted by law, Cab Exchange is not responsible for a member's licensing breach, passenger contract, driving, vehicle, job performance, non-payment, lost profit, indirect loss or conduct of another member. Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation or death or personal injury caused by negligence where applicable.
17. Data and confidentiality
Members must use personal, business and job information obtained through the Exchange only as reasonably necessary for legitimate Exchange activity and legal/regulatory obligations. Driver documents and non-public job information must not be published or shared unnecessarily. Our processing of personal information is described in the Privacy Policy.
18. Intellectual property
Cab Exchange and its platform design, software, branding and original content remain ours or our licensors'. Members retain ownership of material they upload but grant us the rights reasonably necessary to store, display, process and transmit it for operation of the Exchange.
19. Ending membership
A member may stop using the Exchange subject to outstanding obligations. We may suspend or terminate access where these terms permit. Closure does not erase amounts owed, completed-job records, audit information or records we reasonably or legally need to retain.
20. Changes
We may update these terms as the service develops or legal requirements change. Material changes will be brought to members' attention and, where appropriate, fresh acceptance will be requested.
21. Governing law
These terms and non-contractual disputes arising from them are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory rule that applies otherwise.
22. Regulatory note
The Exchange is designed to support, not replace, members' regulatory processes. TfL guidance states that a London PHV operator must itself accept and take responsibility for its passenger booking, and provides specific requirements for booking and subcontracting records. Members must keep themselves informed of the rules applying to their operations.
Driver invoices and payment details
Drivers may use Cab Exchange to generate and send invoices for completed work. Invoice information is populated from marketplace records and payment details supplied by the driver. Drivers remain responsible for the accuracy of their invoice, bank and VAT information. Cab Exchange does not process the underlying payment, hold client money, guarantee payment or determine the tax treatment of a transaction. Operators remain responsible for checking invoices and making payment under the agreed terms.
